1. Agreement to Terms
Welcome to ContentAdviser.io ("ContentAdviser," "Company," "we," "our," or "us").
These Terms of Service ("Terms") govern your access to and use of the ContentAdviser website, software platform, APIs, applications, and related services (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and references to "you" include that organization.
2. Eligibility
You must:

- Have the legal capacity to enter into binding agreements.
- Comply with all applicable laws and regulations.
You may not use the Services if prohibited by applicable law.
3. Services
ContentAdviser provides AI-powered content analysis, moderation, compliance, advisory, optimization, and related software services.
We may modify, improve, discontinue, or replace features at any time. We do not guarantee that any feature will remain available indefinitely.
4. Account Registration
To access certain features, you may be required to create an account. You agree to:
- Provide accurate information.
- Keep account information current.
- Maintain the confidentiality of credentials.
- Promptly notify us of unauthorized account access.
You are responsible for all activities occurring under your account.
5. Subscription Plans and Billing
Paid Services
Certain Services require payment of subscription fees. Fees, billing intervals, usage limits, and plan features are described on ContentAdviser.io or in a separate Order Form.
Auto-Renewal
Unless otherwise specified, subscriptions automatically renew for successive billing periods until cancelled. You authorize us to charge your designated payment method for all applicable fees.
Taxes
Fees are exclusive of taxes unless expressly stated otherwise. You are responsible for applicable taxes, duties, or governmental charges.
Late Payments
Failure to pay fees may result in:
- Suspension of Services
- Restricted access
- Account termination
6. Free Trials and Beta Services
We may offer free plans, trial subscriptions, beta features, and early access functionality. Such offerings are provided "AS IS" without warranties and may be modified or discontinued at any time. We may limit or revoke access without notice.
7. Customer Data
Ownership
You retain all rights, title, and interest in content, data, files, prompts, text, and other materials submitted through the Services ("Customer Data"). ContentAdviser does not claim ownership of Customer Data.
License to Operate Services
You grant ContentAdviser a limited, non-exclusive license to process, store, transmit, and use Customer Data solely to:
- Provide the Services
- Maintain platform functionality
- Support security and fraud prevention
- Comply with legal obligations
8. AI Features and Generated Output
The Services may use artificial intelligence, machine learning, large language models, and automated systems.
Output Limitations
AI-generated recommendations, classifications, analyses, and outputs may be inaccurate, incomplete, or contain errors and require human review. You are solely responsible for evaluating outputs before relying on them.
No Professional Advice
AI-generated outputs do not constitute legal, financial, regulatory, medical, or professional services of any kind. Professional advisors should be consulted where appropriate.
Training Restrictions
Unless expressly agreed otherwise in writing:
- Customer Data will not be used to train public AI foundation models.
- We may use aggregated and anonymized information to improve our Services.
9. Acceptable Use
You agree not to:
- Violate laws or regulations.
- Infringe intellectual property rights.
- Upload malicious code.
- Interfere with platform security.
- Attempt unauthorized access.
- Reverse engineer the Services except where prohibited by law.
- Abuse APIs or system resources.
- Use the Services for spam, fraud, harassment, or illegal activities.
- Circumvent usage limits or restrictions.
We may investigate and take action against violations.
10. Third-Party Services
The Services may integrate with third-party providers. ContentAdviser is not responsible for third-party products, content, availability, or security practices. Your use of third-party services is governed by their terms and policies.
11. Intellectual Property
ContentAdviser and its licensors retain all rights in software, algorithms, models, APIs, documentation, branding, trademarks, and platform design. No rights are granted except those expressly provided under these Terms.
12. Feedback
If you provide suggestions, ideas, or feedback, you grant ContentAdviser a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback without compensation.
13. Confidentiality
Each party agrees to protect confidential information disclosed by the other party using reasonable care. Confidential information does not include information that:
- Is publicly available
- Was independently developed
- Was lawfully obtained from a third party
- Is required to be disclosed by law
14. Privacy
Your use of the Services is subject to our Privacy Policy and related privacy notices. By using the Services, you acknowledge that personal information may be processed in accordance with those policies.
15. Security
ContentAdviser implements reasonable administrative, technical, and organizational safeguards designed to protect information processed through the Services. However, no service can guarantee absolute security. You are responsible for maintaining appropriate security practices on your own systems and accounts.
16. Availability
We strive to provide reliable service but do not guarantee uninterrupted availability. The Services may experience maintenance periods, network interruptions, security incidents, or third-party outages. Service availability may vary.
17. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
CONTENTADVISER DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND UNINTERRUPTED OPERATION.
WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE OR THAT RESULTS WILL MEET YOUR EXPECTATIONS.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONTENTADVISER SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION.
CONTENTADVISER'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO CONTENTADVISER DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
SOME JURISDICTIONS MAY NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES, LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
19. Indemnification
You agree to defend, indemnify, and hold harmless ContentAdviser and its affiliates, officers, employees, contractors, and agents from claims, liabilities, damages, losses, and expenses arising from:
- Your use of the Services
- Your Customer Data
- Your violation of these Terms
- Your violation of applicable law
20. Suspension and Termination
We may suspend or terminate access if:
- You violate these Terms.
- Payment obligations are not met.
- Required by law.
- Necessary to protect the Services or users.
You may terminate your account at any time. Termination does not relieve outstanding payment obligations.
21. Effect of Termination
Upon termination:
- Access rights cease.
- Certain data may be deleted according to our retention policies.
- Accrued obligations remain enforceable.
- Sections intended to survive termination will remain in effect.
22. Export Controls and Sanctions
You agree not to use the Services in violation of export control, trade sanctions, or similar laws. You represent that you are not located in a prohibited jurisdiction or subject to applicable sanctions restrictions.
23. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ContentAdviser is established, without regard to conflict-of-law principles.
24. Dispute Resolution
Before initiating formal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiations. Where permitted by law, disputes may be resolved through binding arbitration rather than court proceedings. Nothing in this section limits either party's ability to seek injunctive or equitable relief.
25. Changes to Terms
We may modify these Terms periodically. Material changes will be communicated through website notices, account notifications, or email notifications where appropriate. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
26. Entire Agreement
These Terms, together with any Order Forms, Privacy Policy, Data Processing Agreement, and related legal documents, constitute the entire agreement between the parties regarding the Services.
